PLEASE READ THIS NON-DISCLOSURE AGREEMENT (“NDA”) CAREFULLY. BY REGISTERING, YOU HEREBY ATTEST THAT YOU ARE (1) AT LEAST EIGHTEEN (18) YEARS OF AGE; AND (2) CONSENTING TO BE BOUND BY THIS NDA. By registering for this webinar hosted by Vick Strizheus and ESTAGE, LLC (“ESTAGE”), You (“You”) acknowledge that You have read and agree to this NDA. 

CONFIDENTIAL INFORMATION. This webinar contains Confidential Information (“Confidential Information”). Confidential information means all information disclosed, displayed, or communicated by Vick Strizheus in connection with ESTAGE on this webinar, including but not limited to product roadmaps, development plans, technical and/or ecosystem ideas, marketing, information on security measures, and infrastructure.

NON-DISCLOSURE. By registering for this webinar, you agree to keep this content 100% confidential. You are invited to engage with this content for its intended informational and educational purposes only, and you agree not to disclose it to others.

YOU ARE NOT ALLOWED TO RECORD (AUDIO OR VIDEO) ANY PART OF THIS CONTENT.

Except for internal informational and educational purposes, you shall not copy, disclose, reverse engineer, or create derivative works of any Confidential Information. You shall hold in confidence and protect such Confidential Information. You will promptly notify ESTAGE of any unauthorized release, disclosure, or use of the Confidential Information. 

The obligations of this NDA stay in effect for one (1) year after the disclosure of such Confidential Information, except concerning trade secrets, whereby confidentiality obligations shall continue to apply until released by ESTAGE and no longer qualifies as a trade secret under applicable law.  

EQUITABLE RELIEF. Due to the unique nature of this webinar and the Confidential Information therein, any breach of this NDA could cause irreparable harm to ESTAGE. Accordingly, you will be held responsible for any violations of these terms and the consequences resulting from these violations. Consequences for violating any of these terms and conditions can range from permanent closure of your ESTAGE account, dismissal from the group, removal/termination of your ESTAGE Ambassador’s license, and legal action. Furthermore, you also understand that all costs associated with any legal or other measures will be your responsibility.

GENERAL PROVISIONS. This NDA is non-assignable by You, is governed by the internal laws of the State of South Dakota, and may be modified or waived only in writing signed by both You and ESTAGE.
